Terms of Service

These Terms of Service ("Terms") govern the engagement of services provided by Scaled Holdings India Private Limited, trading as OpenLoop Systems ("OpenLoop", "we", "us"). By engaging our services or using our website, you agree to be bound by these Terms.

1. Acceptance of Terms

You must be at least 18 years of age, or have the consent of a legal guardian, to engage our services. Your continued use of our services following any update to these Terms constitutes your acceptance of the revised Terms.

2. Services Provided

OpenLoop delivers customised information-technology, software-development, web-engineering, and consultancy services. The specific scope, timelines, and deliverables of each engagement are defined in an individual project agreement or statement of work.

3. Client Obligations

Clients agree to provide accurate information, comply with all applicable laws, and refrain from any unlawful or abusive use of our services. Failure to do so may result in suspension or termination of the engagement, without refund.

4. Payment Terms

Work commences only upon receipt of advance payment as specified in the relevant contract. Late payments may incur interest, project delays, or suspension of services at our discretion until accounts are settled.

5. No Refund Policy

Owing to the bespoke nature of our deliverables, no refunds are offered once a project has commenced. Please refer to our Refund Policy for further detail.

6. Intellectual Property

All deliverables remain the property of OpenLoop until full payment has been received. Upon payment, ownership of project-specific deliverables transfers to the client, excluding any third-party licences, open-source components, or pre-existing materials owned by OpenLoop.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, technical, or commercial information disclosed during the engagement. This obligation survives the termination of services.

8. Limitation of Liability

OpenLoop shall not be liable for indirect, incidental, special, or consequential damages, nor for losses arising from third-party delays or errors in client-supplied information. Our aggregate liability for any matter arising out of an engagement is limited to the total fees paid by the client for that engagement.

9. Termination

We may suspend or terminate services for material breach of these Terms or for overdue payment. Clients may terminate an engagement with written notice, subject to settlement of fees due for work performed up to the date of termination.

10. Dispute Resolution

Any dispute should first be raised in writing to hey@openloop.in. Unresolved disputes shall be referred to arbitration under the laws of India, with the seat of arbitration in Srinagar, Jammu & Kashmir.

11. Third-Party Tools

Engagements may rely on third-party software, infrastructure, or platforms. OpenLoop does not warrant the availability or performance of such third-party services and shall not be liable for any failure thereof.

12. Governing Law

These Terms are governed by the laws of India. The courts of Srinagar, Jammu & Kashmir shall have exclusive jurisdiction over any matter not resolved through arbitration.
